By accessing or using the Condo-IQ platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including property managers, condominium boards, and administrators.

2. Description of Service

Condo-IQ provides a property management intelligence platform that includes invoice processing, financial analytics, AI-powered Q&A, vendor management tools, and asset tracking features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration and Security

To access the Service, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Promptly notifying us of any unauthorized use of your account
• Ensuring that your use complies with all applicable laws and regulations

4. Acceptable Use

You agree not to use the Service to:

• Upload or process fraudulent, misleading, or illegal documents
• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Attempt to gain unauthorized access to our systems or other users’ data
• Transmit malware, viruses, or other harmful code
• Use the Service for any purpose other than legitimate property management activities

5. AI-Generated Content

The Service includes AI-powered features including an AI Agent that analyzes invoices and answers questions. You acknowledge that:

• AI-generated insights are for informational purposes only and do not constitute financial or legal advice
• You are responsible for verifying the accuracy of AI-generated outputs before relying on them
• Condo-IQ is not liable for decisions made based on AI-generated content

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Condo-IQ and are protected by intellectual property laws. You retain ownership of any data and documents you upload. By using the Service, you grant Condo-IQ a limited license to process your data solely for the purpose of providing the Service.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Condo-IQ and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total liability to you shall not exceed the amount you paid us in the twelve months preceding the claim.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may request export of your data prior to termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting an updated version on our platform with a new effective date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
